Whether you are a founder raising capital or an investor looking for carefully selected opportunities, you will want to know exactly how we operate. At Innovation Capital Partners, we believe transparency about our process is just as important as the results we deliver. Here is how we work with both sides of every deal.
For Founders

Every engagement starts with a conversation. We take time to understand your business, your raise objectives, your timeline, and what kind of investors you are looking for. If we believe we can add genuine value, we will agree the terms of our engagement on a success-only basis with no retainer.

Before we approach investors, we work with you to make sure your proposition is as strong as it can be. That means reviewing your business plan, financials and supporting documentation, and producing a two-page Investment Summary tailored to our investor network. First impressions count.

We do not send your opportunity to a generic list. We match your raise to the right investors from our Private Capital Network: individuals, family offices and institutional investors who are actively deploying capital into opportunities like yours. We make targeted, qualified introductions and manage the relationship through to term sheet.

We keep you informed throughout: every introduction, every conversation, every update. You will always know where your round stands. We stay close to investor discussions and help you navigate any questions, objections or negotiation points that arise along the way.

When funds are committed, we coordinate through to completion, including liaising with legal advisers on both sides where required. Our fee is earned only when you raise. No raise, no fee.
For Investors

Every opportunity we present has been through an internal review process. We assess the team, the market, the financials and the growth thesis before we bring an opportunity to our investor network. We do not present everything, only what we believe merits serious consideration.

Before receiving any investment information, all investors are onboarded through our compliance process. This covers two areas.
Self-Certification
To access our investment opportunities, you will need to confirm that you qualify as a High Net Worth Investor or Sophisticated Investor under the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005. This is a legal requirement and one we take seriously.
KYC and AML Verification
All investors complete a full Know Your Customer (KYC) and Anti-Money Laundering (AML) check before any investment can proceed. This verifies your identity and confirms that the funds you are investing come from a legitimate source. We manage this process through Envestors Ltd, an FCA-authorised investment platform (FRN: 523952). Using an FCA-regulated partner for compliance means your onboarding is handled to the highest regulatory standard, giving both you and the companies you invest in confidence that every investor on our platform has been properly verified. -
Once onboarded, you will receive access to Investment Summaries and supporting materials for opportunities we believe match your profile. We present information clearly and honestly, including the risks. These are early-stage, illiquid investments and we will never suggest otherwise.

When you are ready to commit, the subscription process is straightforward. You will receive an Investor Subscription Agreement setting out the terms of your investment, including share class, price per share, investor rights, and any applicable EIS or SEIS provisions. We are on hand to answer any questions, though we would always encourage you to take independent legal and financial advice before committing.

Once your investment completes, the company will keep you updated with regular reporting on business performance and financials. We stay in contact with both you and the company to support the relationship over the long term.
Our Compliance Position
We want to be straightforward about where we sit from a regulatory perspective, because we think clarity on this matters.
Innovation Capital Partners Ltd is not authorised or regulated by the Financial Conduct Authority. We do, however, operate within the FCA's financial promotion framework, meaning all our marketing to investors complies with the Financial Promotion Order 2005, and we only communicate investment opportunities to individuals who have confirmed they qualify as High Net Worth or Sophisticated Investors.
For investor compliance, including self-certification, KYC and AML, we work exclusively with Envestors Ltd (FCA FRN: 523952), an FCA-authorised firm whose platform manages these obligations to the standard required by regulation. Everyone on both sides of a transaction can be confident that the compliance process has been handled properly, by a firm with the regulatory standing to do so.
We are a specialist introduction and deal facilitation business that takes compliance seriously, works with the right regulated partners, and focuses on delivering results.
EIS and SEIS Many of the opportunities we work with are eligible for Enterprise Investment Scheme (EIS) or Seed Enterprise Investment Scheme (SEIS) tax relief, offering significant income tax and capital gains tax benefits for qualifying investors. Where applicable, we will flag this clearly in the investment materials. We would always recommend taking independent tax advice to confirm your eligibility.
